CONTENT LICENSING AGREEMENT
***The picture set referred to in this agreement is owned by Matt Waldie. ZIP
Content! is distributing the picture set for Matt Waldie and does not retain
ownership of the pictures. In effect, the legal documents and model releases are
held by

In the following agreement, the party who is receiving the right to use the
licensed property will be referred to as "licensee".
Content Title included in this license: CHRIS #3.
The parties agree as follows:
1. Matt Waldie owns/distributes the CHRIS #3 in accordance with this agreement,
Matt Waldie grants the licensee a non-exclusive website license to display and
use the CHRIS #3 for online user downloading from up to and not more then three
website domains owned/operated by the licensee. Matt Waldie retains title and
complete ownership of the CHRIS #3. The licensee agrees not to sell or
distribute the CHRIS #3 on diskettes, CD ROMS or any other medium. The licensee
is not allowed to trade any of the portion of the CHRIS #3 to any other sites
for any other service or product.
2. The CHRIS #3 may be displayed and used within all domains (one of which is
provided by the licensee at the bottom of this agreement) which are owned and
operated by the licensee. The CHRIS #3 can be used for HTML design, logo design
and banner design by the licensee at no extra cost. The Licensee is allowed to
resize, rename or change the format of the images within the CHRIS #3. No
portion of the CHRIS #3 can be posted in newsgroups. All pictures, video or text
within the CHRIS #3 must be viewed through the licensee's websites.
3. The CHRIS #3 is licensed and all models are over the age of 18 at the time of
photography. Matt Waldie retains the model releases, and will produce any model
release for any pictures within the CHRIS #3 in the even that the CHRIS #3 is
challenged.
4. This agreement shall be binding on any successors of the parties. The
licensee does not have the right to assign its interests in this agreement to
any other party, unless the prior written consent is obtained by Matt Waldie, an
administrative fee will apply. In the event of bankruptcy by the licensee, this
license becomes terminated.
5. This agreement contains the entire agreement of the parties and there are no
other promises or conditions in any other agreement whether oral or written.
This agreement requires that licensee must e-mail must complete the online
license register form and receive a license certification number provided by
ZIPContent in order for this agreement to be binding. All information provided
to ZIPContent can be verified and must be accurate. This agreement supersedes
any prior written or oral agreements between the parties.
Licensee agrees to notify ZIPContent of all changes to the personal information
provided below via e-mail.
6. This agreement may be modified or amended by ZIPContent, and the amendment
will be sent to the licensee in writing.
7. APPLICABLE LAW. This agreement shall be governed by the laws of the United
States. The Licensee holds Matt Waldie and ZIPContent harmless for any legal
issues relating the distribution of the material within the CHRIS #3 as it
relates to the community standards and adult entertainment laws as set forth in
the city/county, state or country of the Licensee and his or her websites. Matt
Waldie and ZIPContent does not warrant this material to be acceptable in
licensee's community, and the licensee has assumed full responsibility for
determining what images, video clips or stories are suitable for distribution.
Matt Waldie warrants the CHRIS #3 are fully copyrighted, and the licensee
warrants the CHRIS #3 free of intellectual property violations only. All images,
video clips and stories within the CHRIS #3 are in compliance with
United States Federal Law.

By filling out the information below, the licensee certifies that he/she
received what he/she paid for and that he/she has dowloaded a full copy of CHRIS
#3 (36 pictures) for use on his/her website(s). If for any reason payment is
withdrawn or not obtained from the licensee, this agreement subsequently becomes
terminated.
